Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and ModelPlug LLC, a Nevada limited liability company ("ModelPlug," "we," "us," or "our"), governing your access to and use of:
(a) the website located at https://modelplug.com and any subdomains (the "Site");
(b) the ModelPlug software platform, including its dashboard, browser extensions, desktop applications, and APIs; and
(c) any related tools, integrations, and documentation (collectively, the "Service").
PLEASE READ THESE TERMS CAREFULLY. By creating an account, clicking "I agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you are entering into these Terms on behalf of a business entity, you represent that you have authority to bind that entity, and "you" will mean that entity.
1. Definitions
"Account" means the account you register to access the Service.
"Content" means any data, text, images, video, audio, files, captions, tags, descriptions, or other materials you upload, post, transmit, or otherwise make available through the Service.
"Connected Platform" means any third-party platform you connect to the Service for content distribution, including but not limited to OnlyFans, Fansly, Slushy, ManyVids, Clips4Sale, Yourvids, Streamate, and similar services.
"Creator" means an individual content creator using the Service to manage and distribute their own content.
"Documentation" means user guides, help articles, and other materials we publish for the Service.
"Fees" means all amounts payable for use of the Service, including applicable taxes.
"Intellectual Property Rights" means all patent, copyright, moral rights, trademark, trade dress, trade secret, and other proprietary or intellectual property rights worldwide.
"Subscription" means your paid subscription to the Service.
"Third-Party Services" means services, software, platforms, or integrations provided by third parties that interoperate with the Service.
2. Who We Are and How to Contact Us
The Service is operated by ModelPlug LLC, a limited liability company organized under the laws of Nevada, with its registered office at 9441 Double Diamond Pkwy, Ste 11, Reno, NV 89521.

3. Eligibility
To use the Service, you must:
(a) be at least 18 years old or the age of legal majority in your jurisdiction (whichever is greater);
(b) have the legal capacity to enter into a binding contract;
(c) not have been previously suspended or removed from the Service;
(d) not be located in a country subject to U.S. embargoes or designated as a "terrorist supporting" country, and not appear on any list of prohibited or restricted parties;
(e) be using the Service in a jurisdiction where doing so is legal;
(f) not be acting on behalf of a minor.
We reserve the right to request proof of age or identity at any time.
4. Accounts and Registration
To use most features of the Service, you must register for an Account. When you register, you agree to:
(a) provide accurate, current, and complete information;
(b) maintain and promptly update your information;
(c) maintain the confidentiality of your credentials;
(d) accept responsibility for all activities under your Account; and
(e) immediately notify us at support@modelplug.com if you believe your Account has been compromised.
You may not sell, transfer, assign, or sublicense your Account or access rights without our prior written consent.
5. License to Use the Service
Subject to these Terms, ModelPlug grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes during the term of your Subscription.
The Service is licensed, not sold. All rights not expressly granted are reserved by ModelPlug.
6. Acceptable Use Policy
You are responsible for all Content and activity under your Account. You agree NOT to use the Service to:
(a) violate any applicable law, regulation, or third-party right;
(b) post, upload, or distribute Content that:
(i) depicts or refers to any individual under 18 years of age (we maintain a zero-tolerance policy for child sexual abuse material and will report violations to authorities);
(ii) is illegal, fraudulent, defamatory, hateful, discriminatory, threatening, or harassing;
(iii) depicts or promotes non-consensual conduct, sexual exploitation, revenge porn, escort services, sex trafficking, prostitution, bestiality, necrophilia, incest, or other prohibited subject matter;
(iv) infringes any copyright, trademark, trade secret, or other Intellectual Property Right;
(v) contains personal or confidential information about another person without their express written consent;
(vi) gives the impression that it comes from or is endorsed by ModelPlug or any third party without authorization;
(c) connect a Connected Platform account that you do not lawfully own or have authorization to use;
(d) post or distribute Content to any Connected Platform in violation of that platform's terms of service or community guidelines (you remain solely responsible for compliance with each Connected Platform's rules);
(e) use the watermark removal feature on Content for which you do not have the legal right to remove watermarks (you represent and warrant that you have all necessary rights to any Content you process);
(f) reverse engineer, decompile, or disassemble any part of the Service;
(g) circumvent, disable, or interfere with security features of the Service;
(h) introduce malware, viruses, or harmful code;
(i) use the Service to build a competing product or service;
(j) scrape, crawl, or use automated means to access the Service except through publicly documented APIs;
(k) impersonate any person or entity or misrepresent your affiliation;
(l) sell, share, or transfer Account credentials;
(m) use the Service to send unsolicited advertising or spam;
(n) attempt or assist any of the above.
We may investigate suspected violations and take any action we deem appropriate, including removing Content, suspending or terminating Accounts, withholding Fees, or reporting unlawful activity to law enforcement.
7. Your Content and Intellectual Property
7.1 Ownership of Your Content
You retain all right, title, and interest in and to your Content. Nothing in these Terms transfers ownership of your Content to us.
7.2 License to ModelPlug
By submitting Content to the Service, you grant ModelPlug a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, transmit, distribute, display, and create technical derivatives of your Content solely as necessary to:
(a) provide, operate, maintain, and secure the Service;
(b) process and distribute your Content to Connected Platforms you authorize;
(c) generate AI-powered titles, descriptions, tags, and other metadata at your direction;
(d) remove watermarks from your Content at your direction;
(e) generate aggregated, anonymized analytics for product improvement.
This license terminates when you delete the relevant Content or close your Account, except where retention is required by law or as described in Section 12.
7.3 Your Representations
You represent and warrant that:
(a) you own or have all necessary rights, licenses, and consents to submit your Content and authorize the license above;
(b) any individual depicted in your Content is at least 18 years old, has consented in writing to appearing in the Content, and you maintain documentation evidencing such consent and age verification;
(c) your Content does not infringe any third-party Intellectual Property Right;
(d) your Content and use of the Service comply with all applicable laws.
7.4 ModelPlug's Intellectual Property
The Service, including its design, software, algorithms, AI models, and Documentation, is owned by ModelPlug or its licensors and is protected by Intellectual Property Rights. Except for the limited license in Section 5, no rights are granted to you in the Service.
7.5 Feedback
If you provide suggestions, ideas, or feedback ("Feedback"), you grant ModelPlug a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and commercialize the Feedback for any purpose without restriction or attribution.
8. AI-Powered Tools
The Service includes AI features, including but not limited to AI title, description, and tag generation, AI watermark removal, and AI content optimization (collectively, "AI Tools").
You acknowledge and agree that:
(a) AI Tools are provided as supportive tools only;
(b) you are solely responsible for reviewing, verifying, and ensuring the accuracy, legality, and appropriateness of all AI-generated outputs before use or publication;
(c) ModelPlug makes no representations or warranties regarding the accuracy, completeness, or suitability of AI-generated content;
(d) AI outputs may occasionally produce errors, hallucinations, or inappropriate results;
(e) ModelPlug is not liable for any consequences arising from your reliance on AI-generated outputs, including any actions taken by Connected Platforms in response to such Content.
9. Connected Platforms and Third-Party Services
9.1 Connections You Authorize
The Service enables you to connect and post to Connected Platforms. By connecting a Connected Platform:
(a) you authorize ModelPlug to access, manage, and post Content on your behalf using credentials, tokens, or API access you provide;
(b) you represent that you are the rightful owner of, or have authority to use, that Connected Platform account;
(c) you remain solely responsible for compliance with each Connected Platform's terms of service, community guidelines, and applicable laws;
(d) any actions performed through such connections are legally attributable to you, not to ModelPlug.
9.2 Browser-Like Functionality
Where the Service performs actions on Connected Platforms, it does so within the same permissions and access rights available to you using a standard web browser. ModelPlug does not bypass authentication, paywalls, or access restrictions implemented by Connected Platforms.
9.3 No Affiliation
ModelPlug is not affiliated with, sponsored by, or endorsed by OnlyFans, Fansly, Slushy, ManyVids, Clips4Sale, Yourvids, Streamate, or any other Connected Platform. Trademarks of those platforms are the property of their respective owners.
9.4 Third-Party Services Generally
Your use of any Third-Party Service (including library imports from Google Drive, Dropbox, or similar) is governed by that provider's terms and privacy policies. ModelPlug is not responsible for Third-Party Services and disclaims liability for them.
10. Payment Terms
10.1 Fees
Fees are set forth on the pricing page at https://modelplug.com/pricing. Fees are exclusive of applicable taxes, which you are responsible for paying.
10.2 Subscriptions
Unless otherwise stated, Subscriptions renew automatically for the billing period you select (e.g., monthly or annually) until you cancel. Your Payment Method will be charged at the start of each renewal period.
10.3 Free Trials
We may offer free trials. At the end of the trial period, your paid Subscription will begin automatically unless you cancel before the trial ends. Trials are limited to one per customer.
10.4 Cancellation
You may cancel your Subscription at any time through your Account settings. Unless required by applicable law, cancellation takes effect at the end of your then-current billing period, and you will retain access to paid features through that period.
10.5 Refunds
Fees are non-refundable except where required by law or expressly stated otherwise. We do not provide refunds or credits for partial billing periods, unused features, or downgrades.
EU and UK consumers may have a 14-day withdrawal right for digital services. Where you request immediate access and acknowledge that you waive the withdrawal right once performance begins, charges are non-refundable after access starts.
10.6 Price Changes
We may change prices at any time. Price changes for active Subscriptions will apply at the next renewal. Continued use after the effective date constitutes acceptance of the new price.
10.7 Failed Payments
If your payment fails, we may suspend or terminate your access to paid features. You remain responsible for all amounts owed.
11. Suspension and Termination
11.1 Termination by You
You may terminate your Account at any time through your Account settings or by contacting support@modelplug.com.
11.2 Termination by Us
We may suspend or terminate your Account, immediately and without notice, if:
(a) we believe you have breached these Terms;
(b) you fail to pay Fees;
(c) we are required to do so by law or legal process;
(d) your conduct creates legal exposure or reputational harm to ModelPlug;
(e) we discontinue the Service or any portion of it.
11.3 Effect of Termination
Upon termination:
(a) your license to use the Service ends;
(b) we may delete your Account and Content (subject to legal retention obligations);
(c) any Fees owed remain payable;
(d) sections that by their nature should survive will survive (including Sections 6, 7, 8, 12, 13, 14, 15, 16, and 17).
11.4 Data Export and Deletion
Before termination, you may export certain Content from your Account. After termination, we may retain encrypted backups for a reasonable period for compliance, audit, or legal purposes.
12. Indemnification
You agree to defend, indemnify, and hold harmless ModelPlug LLC, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
(a) your Content;
(b) your access to or use of the Service;
(c) your breach of these Terms;
(d) your violation of any third-party right, including any Intellectual Property Right or right of privacy;
(e) any dispute between you and a Connected Platform, third party, or another User;
(f) your use of AI Tools or distribution of AI-generated Content;
(g) your violation of any Connected Platform's terms or applicable laws when posting Content through the Service.
We reserve the right, at our own expense, to assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate with our defense.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, MODELPLUG AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
(a) the Service will be uninterrupted, timely, secure, or error-free;
(b) defects will be corrected;
(c) the Service or its servers are free of viruses or harmful components;
(d) the AI Tools will produce accurate, complete, or appropriate results;
(e) Content distributed through the Service will be accepted, retained, or remain visible on Connected Platforms;
(f) you will earn any particular amount of money or achieve any particular result from using the Service.
No advice or information obtained from ModelPlug or through the Service creates any warranty not expressly stated in these Terms.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MODELPLUG OR ITS AFFILIATES, LICENSORS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
(a) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
(b) ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR BUSINESS INTERRUPTION,
ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF LEGAL THEORY AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF:
(i) the total amount you paid to ModelPlug in the 12 months preceding the event giving rise to liability; or
(ii) USD $100.
These limitations apply to the maximum extent permitted by law and do not apply to liability for death or personal injury caused by negligence, fraud, or willful misconduct.
15. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms.
16. Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice through the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and may cancel your Subscription.
We may make non-material changes (e.g., clarifications, formatting) at any time without notice.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17.2 Informal Resolution
Before filing any formal dispute, you agree to contact us at legal@modelplug.com and attempt in good faith to resolve the matter informally for at least 30 days.
17.3 Binding Arbitration
PLEASE READ CAREFULLY. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by binding individual arbitration, except that either party may bring an action in small-claims court for qualifying claims.
(a) Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
(b) Arbitration will be conducted in Reno, Nevada, or remotely where permitted.
(c) The arbitrator's decision is final and binding.
17.4 Class Action Waiver
YOU AND MODELPLUG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
17.5 Jury Trial Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AND MODELPLUG WAIVE ANY RIGHT TO A JURY TRIAL.
17.6 Exceptions
ModelPlug may seek injunctive or equitable relief in any court of competent jurisdiction to protect its Intellectual Property Rights, confidential information, or to enforce Sections 6 and 7.
17.7 Time Limit
Any claim must be brought within one (1) year after the cause of action accrues, or it is permanently waived to the extent permitted by law.
18. General
18.1 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any other agreements expressly incorporated by reference, constitute the entire agreement between you and ModelPlug regarding the Service.
18.2 Severability
If any provision is held invalid or unenforceable, the remaining provisions will remain in full force.
18.3 No Waiver
Our failure to enforce any right or provision is not a waiver of that right or provision.
18.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice.
18.5 Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, war, terrorism, pandemic, internet outages, or actions by third-party service providers (including Connected Platforms).
18.6 Independent Contractors
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and ModelPlug.
18.7 Electronic Communications
You consent to receive communications from us electronically. Any notices, agreements, disclosures, or other communications we send electronically satisfy any legal requirement that such communications be in writing.
18.8 Export Compliance
You must comply with all applicable export control and sanctions laws.
18.9 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
